31. No transfer of any share shall be registered except with
the unanimous approval of all the Directors of the Company for
the time being, or with the consent of an Extraordinary Resolution
of the Shareholders of the Company.
32. The Directors may also decline to recognise any instrument
of transfer, unless
(a) such fee, not exceeding 2^. 6^., as the Directors may
from time to time require is paid to the Company in respect
thereof; and
(b) the instrument of transfer is accompanied by the
certificate of the shares to which it relates, and such other
evidence as the Directors may reasonably require to show
the right of the transferor to make the transfer.
33. The register of transfers may be closed at such times and
for such period as the Directors may from time to time determine,
provided always that it shall not be closed for more than thirty
days in any year.
34. There shall be paid to the Company in respect of the
registration of any power of attorney or other document relating
to or affecting the title to any shares such fee, not exceeding 25. 6d.,
as the Directors may from time to time require or prescribe.
35. The executors or administrators of a deceased sole holder
of a share shall be the only persons recognised by the Company
as having any title to the share. In the case of a share registered
m the names of two or more holders, the survivors or survivor,
or the executors or administrators of the deceased survivor, shall
be the only persons recognised by the Company as having any
it e to the share, but nothing herein contained shall be taken to
re ease the estate of a deceased joint holder from any liability on
shares held by him jointly with any other person.
